These terms apply to business customers. Where you have a signed supply agreement or an accepted quotation with different terms, that document takes precedence over this page.
Introduction
This website is operated by SH System Engineering. By using the site you accept these terms. By placing an order with us you accept the terms of sale set out below, together with anything stated on our quotation or order acknowledgement.
Using this website
The content on this site is provided for general information about our products and capabilities. Product images, technical descriptions and specifications are indicative — actual equipment supplied is defined by the written quotation, not by this website. We may change or withdraw content at any time without notice.
You may not use this site in any way that is unlawful, or attempt to gain unauthorised access to it or to any server or database connected to it.
Quotations and orders
- Quotations are valid for the period stated on them, and if no period is stated, for 30 days from issue.
- A quotation is an invitation to order, not a binding offer. A contract is formed only when we acknowledge your order in writing.
- Any specification, drawing or sample provided with a quotation forms part of that quotation and may not be shared with third parties without our consent.
- Where equipment is being manufactured or modified to your requirement, we will confirm the specification in writing before production starts. Changes requested afterwards may affect price and delivery.
Prices and payment
Prices are quoted exclusive of taxes, duties, freight and insurance unless expressly stated otherwise. Where an order involves imported equipment, prices may be subject to exchange rate movement, changes in duty and freight charges up to the point of shipment; any adjustment will be advised to you before dispatch.
Payment terms are those stated on our quotation or invoice. We reserve the right to suspend work or delivery where payment falls overdue, and to charge for storage of goods held on your behalf.
Delivery and risk
Delivery dates are given in good faith and are estimates. We will keep you informed of any change, but we are not liable for delay caused by circumstances outside our reasonable control, including supplier and shipping delays or customs clearance.
Risk in the goods passes to you on delivery to your nominated address or carrier. Please inspect goods on arrival and record any visible damage or shortage on the delivery documentation — see our Shipping Policy.
Title
Title to goods remains with us until we have received payment in full. Until then you must store them so that they remain identifiable as our property, and you may not pledge them as security.
Installation and site conditions
Where installation or commissioning is included, you are responsible for providing safe access, suitable foundations, and the electrical supply, compressed air and cooling water specified in our documentation. Delays or additional visits caused by site conditions not being ready may be charged at our prevailing rates.
Specification and suitability
Where you specify the application, we will advise on suitable equipment. Where you specify the equipment yourself, or supply the material, drawings or fixture, responsibility for the suitability of that specification rests with you. Weld quality depends on factors on your site — material condition, fit-up, electrode maintenance, cooling and operator practice — which are outside our control after handover.
Warranty
Warranty terms, periods and exclusions are set out in full on our Warranty Policy page, which forms part of these terms.
Limitation of liability
Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by our negligence, or for fraud.
Subject to that, our total liability arising out of any contract shall not exceed the price paid for the goods or services giving rise to the claim, and we shall not be liable for loss of profit, loss of production, loss of contracts or any indirect or consequential loss however arising.
Intellectual property
All designs, drawings, technical documentation, trade marks and website content remain our property or that of the original manufacturer. Nothing supplied to you transfers any intellectual property rights, and our documentation may not be copied or passed to a competitor.
Force majeure
We are not liable for failure or delay in performance caused by events beyond our reasonable control, including acts of government, import or export restrictions, currency restrictions, industrial disputes, utility failure, fire, flood, epidemic, war or civil disturbance.
Cancellation
Orders for standard stock items may be cancelled before dispatch. Orders for equipment that is manufactured, modified or imported specifically to your requirement cannot be cancelled once production or procurement has begun, except by agreement and against our reasonable costs incurred.
Governing law
These terms are governed by the laws of the Islamic Republic of Pakistan, and the courts of Karachi shall have jurisdiction over any dispute, without prejudice to our right to pursue recovery in the jurisdiction in which you are located.
